and security of our registered members is of the utmost importance. Emergis is
committed to protecting your personal and corporate information. Accordingly,
Emergis has adopted this Privacy Policy and maintains standards and procedures
to prevent misuse of the information that you may provide to us. This is the
Privacy Policy of Emergis and describes the information gathered from visitors
to our web site and users of the Bell NCS Eprocurement (OTPG), and our use of
such information. Our Privacy Policy is designed to let you know what happens
to information when you visit our web site. This site serves two primary
purposes, allowing you to learn about Emergis, and allowing you to transact
with other businesses through the business-to-business e-commerce Emergis OTPG
service when you choose to become a subscriber in the Emergis OTPG.

TYPE OF WEB SITE
USER Depending what you do at our site will determine the information
that is collected by Emergis. There are three types of users of the
site:

Visitors: Anyone can
visit the Emergis.com site in order to review information about Emergis and its
services (such a user is referred to hereinafter as a Visitor).

Registration: Anyone
can register in the Emergis OTPG. Registration offers you a limited subset of
Emergis OTPG functionality, and does not entail any connection to a particular
buying group. In order to register in the Emergis OTPG, you must provide your
name, address, email address, User Name and Password. Registration tells
Emergis that you are interested in the Emergis OTPG, and is the first step in
the enrollment process. Registered members have access to industry analysis,
whitepapers, and tutorials etc., but do not have visibility to other members of
the Emergis OTPG or access to the specialized tools and methodologies available
to enrolled members (such a user is referred to hereinafter as a
Registrant).

Enrollment: Enrolling
as a subscriber in the Emergis OTPG entails defining corporate contact and
billing information, setting up and maintaining users and security levels,
specifying catalog and purchase order formats, and determining your
organization's technical infrastructure to enable complete back-end
integration. You will be asked to provide corporate contact, billing, and
business information (e.g., DUNS, UDDI, etc.), technical infrastructure
details, user security settings, and a valid buying group key (such a user is
referred to hereinafter as a Subscriber).

INFORMATION GATHERED AND PURPOSE OF
COLLECTION The information we collect is used to enable you to use the
Emergis OTPG service, to enhance your visit to the site, for internal tracking
and site improvement purposes and to enable us to contact you. Emergis does not
collect any more information about you than is required by law, is otherwise
necessary to provide a high level of service efficiently to you, or is
necessary to make our Emergis OTPG as dynamic and useful as possible. The
information you provide allows us to conduct our business with you and also
allows you to conduct business with other registered members of the Emergis
OTPG, if you choose to become a Subscriber. As noted above, depending what you
do at our site will determine the type and amount of information that is
collected by Emergis:

Visitors: When you
simply visit the Emergis web site to view information about Emergis and the
Emergis OTPG, you do not need to provide us with information about yourself.
However, the IP (internet protocol) address through which your computer has
connected to the internet is automatically recorded by the software at this web
site. The web site software also collects information concerning your internet
browser, operating system, hardware platform, when you visited the site, and
the last web page you were at before you came to this site. In some
circumstances, your user profile is also relayed to this web site and recorded
by the software. Information contained in your user profile can include your
real name, home address, work address, e-mail address, telephone number, fax
number. Also recorded while you are at this site, are the pages you visited at
the site, the time you spent there, information you provided and obtained,
names and addresses of all files either uploaded or downloaded. We may use
cookie technology to recognize you when you return to our site in order to
enhance your visit to the site and our provision of service to you. A cookie is
a small text file that is stored on a user's hard drive by the computer of the
web site that the user is visiting. A cookie includes identifying information
that may be used on subsequent visits such as passwords, account numbers,

Registrants: In order to
register in the Emergis OTPG, you must provide your name, address, email
address, User Name and Password. If you do not wish to disclose such
information and to accept the Terms of Use of the Emergis website and the
Emergis OTPG, please do not register in the Emergis OTPG. When you register for
the Emergis OTPG, we request: administrative contact name, address, phone, fax,
e-mail, and password. Emergis's primary purpose for collecting this information
is to (1) allow us to provide services to you, conduct our business with you,
and inform you about other products and services that might be of interest to
you; (2) satisfy legal reporting requirements; and (3) administer our internal
operations, e.g., ensure proper billing, measure consumer interest in our
various services. Information which is marked as optional, is not required but
is indicated as optional because this information helps us to better address
the needs and interests of our Registrants.
- Subscribers:

Enrolling as a Subscriber in
the Emergis OTPG entails defining corporate contact and billing information,
setting up and maintaining users and security levels, specifying catalog and
purchase order formats, and determining your organization's technical
infrastructure to enable complete back-end integration. During enrollment,
Emergis requests your name, address, e-mail, phone and fax numbers, user ID,
password, payment information, catalog and content format. If you do not wish
to disclose such information and to accept the Terms of Use of the Emergis web
site and the Emergis OTPG, please do not subscribe in the Emergis OTPG.
Emergis's primary purpose for collecting this information is to (1) allow us to
provide services to you, conduct our business with you, and inform you about
other products and services that might be of interest to you; (2) satisfy legal
reporting requirements; and (3) administer our internal operations, e.g.,
ensure proper billing, measure consumer interest in our various services.
Information which is marked as optional, is not required but is indicated as
optional because this information helps us to better address the needs and
interests of our subscribers.

DISCLOSURE OF
INFORMATION Emergis does not share any personally identifiable
information with third parties except in the following circumstances:

You provide prior consent to such
disclosure.

Such disclosure is necessary to provide services
which you have requested, i.e. participation in the Emergis OTPG. For example,
it is necessary to disclose your information to any person with whom you
transact through the Emergis OTPG in order to facilitate your transactions.

must be made to a third party network to which the Emergis OTPG is connected
for purposes of the proper functioning of the Emergis OTPG service and to
facilitate your transactions through the Emergis OTPG.

Emergis is compelled to disclose

Emergis is otherwise required to
disclose your information by law or in the good-faith belief that such action

generate statistics and aggregate reports for internal use and for sharing with
third parties for providing information about the Emergis OTPG and for
marketing and advertising. These statistics and aggregate reports will not
contain any personally identifiable information, and your identity will be kept
anonymous. We may also use aggregate and visitor data for enhancing the
operation, functionality, content, appearance and capabilities of the Emergis
web site.
While Emergis may make reasonable
efforts to have affiliated networks comply with the restrictions contained in
this Privacy Policy, Emergis cannot be responsible for their actions. In
addition, the Emergis OTPG contains links to web sites operated and maintained
by third parties over which Emergis has no control. Any information you provide
to third party web sites will be governed under the terms of such web site's
Privacy Statement and Terms of Use. This Privacy Policy only applies to
Emergis's web site and the Emergis OTPG and Emergis is not responsible for the
privacy practices or the content of the web sites to which it links or for the
privacy practices or the content of affiliated networks.

HOW LONG IS THE INFORMATION
KEPT? Any information that you provide to Emergis, including emails sent
to Emergis, will be stored for reference purposes. We will archive such
information for a maximum period of 7 years, at which time your emails and all
other information about you will be deleted from our subscriber database
permanently. Please note that it may be impossible to delete your information
completely without some residual information remaining in backups.

SECURITY MEASURES We
implement security measures to prevent the loss, alteration and misuse of
information collected from you. The collected information is subject to various
procedures and technological controls, consistent with legal rules and the
demands of customer service. The information is stored on Emergis's secure
private servers. We use industry-standard Secure Sockets Layer (SSL) technology
to enable the encryption of potentially sensitive information such as your name
and address, and critically sensitive information such as a credit card number.
All information is collected within a secure page, encrypted and transmitted to
our secure database. When you create user login IDs and choose passwords,
Emergis maintains internal security of this information. However, you are
responsible for maintaining the external confidentiality of this information.
If it is compromised, you must notify Emergis as soon as possible. While we
have taken steps to minimize the security risk, since 100% confidentiality and
security is not yet possible over the Internet, we assume no liability for any
damages you may suffer as a result of interception, alteration, or misuse of
information transmitted over the Internet.

ACCURACY OF INFORMATION We
have procedures to help you make sure that your information is accurate,
current and complete. We also have procedures to respond to your requests to
correct or update inaccurate information or remove old information in a timely
manner. You can update or modify your user profile at any time after
registration. Please send an email or a fax to the contact information on the
site with a copy of the current information that you would like updated. As a
registrant or subscriber in the Emergis OTPG, you can directly change some of
your information by signing on and modifying the information. In the event that
you have communicated either by fax or email, you will then be sent an email
acknowledging receipt of your request.

INFORMATION In order to facilitate interaction among users of the
Emergis OTPG, our service may allow you to access certain information about
other users of the Emergis OTPG. By using this site as a Visitor or Registrant
and by accepting our Terms of Use when you become a Subscriber, you agree to
treat information about other users of the Emergis OTPG in strict accordance
with such Terms of Use. In all cases, you must give such users an opportunity
to remove themselves from your database and a chance to review the information
you have collected about them. In addition, you must not disclose any
information about another user to a third party without Emergis's consent and
the consent of such other user after adequate prior written notice is provided
to such user, except in the circumstances listed above (under Disclosure of

confidentiality and privacy. Emergis gives access to your information only to
